Service Description

LLC Filing Fix is a service of JeLe Ventures LLC ("we," "us," "our") that provides confirm-only annual report filing for Florida LLCs and profit corporations. We submit your 2026 Florida annual report to the Division of Corporations on your behalf, using officers, registered agent, and addresses exactly as they appear in current state records.

We are not attorneys and do not provide legal advice. This is a ministerial filing service. We do not review, interpret, or advise on any legal matter related to your entity. If you have legal questions about your entity, please consult a Florida-licensed attorney.

You can file your annual report yourself at no service charge, directly at sunbiz.org.

Authorization

By submitting the intake form and completing payment, you represent and warrant that:

• You are authorized to act on behalf of the entity named in your submission.
• The information you provide is accurate to the best of your knowledge.
• You authorize JeLe Ventures LLC to submit a confirm-only annual report on the entity's behalf.

Confirm-Only Policy

We file annual reports with officers, registered agent, and addresses exactly as they currently appear in state records. We do not add, remove, or change any officers, registered agents, or addresses.

If you need to make changes to your entity's officers, registered agent, or address, please file directly at sunbiz.org.

Fees and Payment

Our pricing includes three components, each itemized on the checkout page:

• State annual report fee: $138.75 (LLC) or $150.00 (profit corporation), collected by us and paid to the Florida Division of Corporations.
• State late fee: $400.00, collected by us and paid to the Florida Division of Corporations.
• LLC Filing Fix service fee: $99.00, retained by us for form preparation, filing, and confirmation delivery.

Payment is processed securely through Stripe. We do not store your credit card information.

Filing Guarantee and Refunds

We guarantee that we will submit your annual report to the Florida Division of Corporations within 48 hours of payment clearing.

Before we remit state fees: If we determine we cannot file your annual report for any reason (entity already filed, entity not eligible, authorization unverifiable, entity already dissolved), we refund your full payment (state fees + service fee). Common reasons:

• Your entity has already filed its 2026 annual report.
• Your entity is not eligible for a confirm-only filing.
• Authorization cannot be verified.

After we successfully file (confirmed by a Sunbiz confirmation number): No refund is available. State fees have been remitted to the Division of Corporations and our service is complete.

If we fail to file within 48 hours through our fault and state fees have not yet been remitted: Full refund (state fees + service fee). If state fees were remitted but the filing was rejected by Sunbiz through our error: We pursue a refund of state fees on your behalf or make you whole for those fees, plus refund your $99 service fee.

Our total liability for any claim is limited to the amount you paid. We are not liable for indirect, consequential, or punitive damages, lost business, or the consequences of administrative dissolution.

Mismatch Review

If the name on your payment or intake form does not match any officer or registered agent listed in state records for the named entity, we may flag your order for manual review before filing. This may extend the filing timeline beyond 48 hours. We will contact you by email if additional verification is needed.

Privacy

We collect only the information necessary to file your annual report: entity name, document number, entity type, principal address, your name and title, email address, and optional phone number. We also record the exact clickwrap authorization text you agreed to, the timestamp, and your IP address.

This information is used solely for filing your annual report and communicating with you about your order. We do not sell, rent, or share your personal information with third parties, except as required to process your filing (Stripe for payment, Florida Division of Corporations for the filing itself).

Dispute Resolution

These terms are governed by the laws of the State of Florida. Any dispute arising from these terms or our service shall be resolved in the courts of Pinellas County, Florida.

Not a Government Agency

JeLe Ventures LLC is a private company. We are not affiliated with, endorsed by, or approved by the Florida Department of State, the Division of Corporations, or any other government agency. The annual report form and filing service are available directly from the Division of Corporations at sunbiz.org.

Changes to These Terms

We may update these terms at any time. Changes take effect when posted. Your continued use of our service after changes are posted constitutes acceptance. The terms in effect at the time of your order govern that order.
